Welcome to EverPro, a business management platform for home service companies, operated by EverPro Solutions LLC. (collectively "EverPro," "we," "us," or "our"). These Terms of Service ("Terms") govern the use of the EverPro platform and all related products and services. These Terms apply to Pro Companies (as defined below) that contract with EverPro, as well as to any end users who receive communications or services delivered through our platform. By using our platform or receiving communications delivered through it, you agree to be bound by these Terms.

EverPro provides a comprehensive suite of tools and services that help home service companies ("Pro Companies") run and grow their businesses. Our platform includes business intelligence and analytics, customer relationship management (CRM), scheduling and dispatch, job management, invoicing, and multi-channel communications — including SMS text messages, inbound and outbound phone calls, email, and voicemail. EverPro operates as a technology service provider on behalf of Pro Companies. All services and communications delivered through our platform are provided in the name of the Pro Company — EverPro's name and brand do not appear in any communications delivered to end users.

Capitalized terms that are not defined in these Terms have the meaning given to them in our Privacy Policy (https://tryeverpro.com/privacy-policy).

1. Description of Services
EverPro provides the following services to Pro Companies:

Business Intelligence and Analytics: Performance reporting, dashboards, and data-driven insights to help Pro Companies understand and grow their business.

Customer Relationship Management (CRM): Tools for managing customer records, service history, communication logs, and customer interactions.

Scheduling and Dispatch: Appointment booking, technician scheduling, route optimization, and job dispatch tools.
-
Job Management: Job tracking, status updates, work order management, and field service tools.
-
Invoicing and Payments: Estimate creation, invoice generation, payment collection, and financial reporting.
-
SMS Text Messages: Appointment confirmations, status updates, scheduling reminders, and two-way customer service messages.

Inbound Phone Calls: Call handling, routing, and management on behalf of Pro Companies.

Outbound Phone Calls: Appointment reminders, service notifications, and follow-up calls.
-
Voicemail Drops: Pre-recorded voicemail messages delivered on behalf of Pro Companies.

Email: Appointment confirmations, service updates, and customer communications.
All communications and customer-facing services delivered through EverPro appear to come directly from the Pro Company. End users interact solely with their Pro Company and have no direct relationship with EverPro.

2. Pro Company Obligations — Consent
Because EverPro operates as a behind-the-scenes platform and has no direct relationship with end users, the Pro Company is solely responsible for obtaining and maintaining proper consent from all end users before sending communications through our platform.

2.1 General Consent Requirements
Each Pro Company using EverPro's platform represents and warrants that it has obtained valid consent from every end user to whom it sends communications through our platform, in compliance with all applicable laws and regulations. This includes:

Obtaining express consent from customers to receive service-related communications as part of the customer's agreement to do business with the Pro Company

Obtaining consent from technicians to receive job-related communications as part of the employment or onboarding process
-
Informing end users of the types of communications they will receive and the channels through which they will be contacted (SMS, phone, email, voicemail)
-
Providing clear opt-out instructions for each communication channel
-
Maintaining their own records of consent for all end users

2.2 SMS-Specific Consent Requirements
In addition to general consent requirements, Pro Companies must comply with the following requirements specific to SMS text messaging:

Obtain express consent specifically for SMS communications, in compliance with the Telephone Consumer Protection Act (TCPA) and CTIA Messaging Principles and Best Practices

Inform end users that message frequency varies based on service activity
-
Inform end users that standard message and data rates may apply
-
Include opt-out instructions in SMS messages (e.g., "Reply STOP to opt out")
-
Respect all opt-out requests immediately and completely

2.3 Telephone and Voicemail Consent Requirements
Pro Companies must comply with the following requirements for phone calls and voicemail drops:

Comply with the Telephone Consumer Protection Act (TCPA) and any applicable state telemarketing and do-not-call regulations

Maintain and honor internal do-not-call lists
-
Respect the National Do Not Call Registry where applicable

Ensure all voicemail messages accurately identify the Pro Company

2.4 Email Consent Requirements
Pro Companies must comply with the following requirements for email communications:

Comply with the CAN-SPAM Act and any applicable state email regulations
-
Include accurate sender information identifying the Pro Company
-
Provide a clear and functional unsubscribe mechanism
-
Honor unsubscribe requests within the timeframe required by law

2.5 Record Keeping
Pro Companies must maintain their own records of consent for all end users across all communication channels. EverPro may request evidence of consent from a Pro Company at any time for compliance verification purposes. Failure to provide adequate proof of consent may result in suspension or termination of the Pro Company's access to our platform.

2.6 Prohibited Uses
Pro Companies may not use EverPro's platform to:

Send communications to any end user who has not provided valid consent

Send marketing, promotional, or advertising communications (all communications must be transactional and service-related)

Send communications containing content that violates applicable laws, regulations, or carrier policies
-
Share, sell, or transfer end user contact information or opt-in data to any third party for marketing purposes
-
Send communications on behalf of any entity other than the registered Pro Company
-
Send communications that contain deceptive, misleading, or fraudulent content

3. End User Rights
3.1 Opting Out of SMS Messages
Any end user may opt out of SMS messages at any time by replying to any message with any of the following keywords:
STOP • OPTOUT • CANCEL • END • QUIT • UNSUBSCRIBE • REVOKE • STOPALL
Upon receiving an opt-out request, the end user will receive a single confirmation message. No further SMS messages will be sent from that Pro Company through our platform unless the end user resubscribes.

3.2 Opting Out of Other Communications
End users who wish to opt out of phone calls, voicemails, or emails should contact their Pro Company directly. Pro Companies are required to honor all opt-out requests in accordance with applicable laws.

3.3 Resubscribing to SMS
To resume receiving SMS messages, an end user may reply START to a previous message or contact their Pro Company directly to re-establish consent.

3.4 Help and Support
End users may reply HELP or INFO to any SMS message to receive support information, including opt-out instructions and contact details.

4. SMS Message Frequency and Rates
Message frequency varies based on appointment activity and service interactions between the end user and their Pro Company. SMS messages are limited to transactional and service-related communications.
Standard message and data rates may apply as determined by the end user's mobile carrier. Neither EverPro nor the Pro Company charges fees for SMS messages delivered through our platform. Contact your mobile carrier for details about your messaging plan.

5. Privacy and Data Protection
Your privacy is important to us. Please refer to our Privacy Policy at https://tryeverpro.com/privacy-policy for complete details on how we handle information processed through our platform.
Key protections:

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes at any time.

All text messaging originator opt-in data and consent records are kept strictly confidential and will not be shared with any third parties.

Phone numbers, email addresses, and communication content will never be sold, rented, or transferred to third-party marketers, advertisers, or lead generators.

Data may be shared only with the relevant Pro Company and with trusted infrastructure subcontractors under strict confidentiality, solely for platform operation.

6. Intellectual Property
All content, features, functionality, software, and technology provided through the EverPro platform are owned by EverPro or its licensors and are protected by applicable intellectual property laws. Pro Companies are granted a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms. Pro Companies may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the EverPro platform without prior written consent.

7. Disclaimer of Warranties
EverPro provides its platform and all related services on an "as is" and "as available" basis. We do not guarantee that the platform or any communications will function without interruption or be delivered successfully or in a timely manner. Delivery of SMS messages, phone calls, voicemails, and emails is subject to carrier network availability, internet connectivity, and third-party infrastructure.
EverPro is not responsible for:

Delays or failures in delivery caused by carrier networks, email providers, or other third-party infrastructure

Communications that are filtered, blocked, or delayed by carriers, email spam filters, or device settings
-
Any charges applied by mobile carriers for receiving or sending text messages or phone calls
-
Technical issues related to the end user's device, carrier service, or internet connection
-
The accuracy or content of communications composed by Pro Companies
-
Decisions made by Pro Companies based on analytics, reports, or data provided through our platform

8. Limitation of Liability
To the maximum extent permitted by applicable law, EverPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use or inability to use our platform, including but not limited to delays, non-delivery, data loss, business interruption, or technical issues across any service or communication channel.
Our total liability for any claims arising under these Terms shall not exceed the total fees paid by the applicable Pro Company to EverPro in the twelve (12) months preceding the claim.

9. Indemnification by Pro Companies
Each Pro Company agrees to indemnify, defend, and hold harmless EverPro and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:

The Pro Company's failure to obtain proper consent from end users

The Pro Company's violation of any applicable law, regulation, or carrier policy
-
The content of communications sent by the Pro Company through our platform
-
Any claim by an end user related to communications or services provided on behalf of the Pro Company
-
The Pro Company's misuse of data, analytics, or reports generated by the platform

10. Suspension and Termination
EverPro reserves the right to suspend or terminate a Pro Company's access to our platform immediately and without notice if:

The Pro Company is found to be sending communications without proper end user consent

The Pro Company violates these Terms or our Privacy Policy
-
The Pro Company's activities violate applicable laws, regulations, or carrier policies
-
We receive complaints from carriers, regulatory authorities, or end users regarding the Pro Company's practices
-
The Pro Company's activities threaten the integrity or reputation of our platform
-
The Pro Company fails to pay applicable fees or breaches its contractual obligations

11. Supported Carriers and Providers
Communications sent through EverPro's platform are compatible with most major U.S. mobile carriers (including AT&T, Verizon, T-Mobile, and their affiliates) and major email providers. Carrier and provider support may vary and is not guaranteed for all carriers, MVNOs, or email services.

12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the date above and post the revised Terms on our website. Pro Companies will be notified of material changes through our platform. Continued use of our platform after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of California without regard to its conflict of law provisions.
